This usually means the pre-reqs are not installed.

The pre-reqs are
C++ 2005
C++ 2008
C++ 2008 SP1
Microsoft XML core services

Running the setup.exe as opposed to a SETUP.MSI will run the pre-reqs wizard which will report back any missing components and also install them.
